1. About these terms
These terms apply to your use of this website and to quotations and orders placed with Guangzhou Xinming Leather Co., Ltd., No. 3, Commercial 2nd Street, Lingnan Industrial Zone, Shiling Town, Huadu District, Guangzhou City, Guangdong Province, China. By using the site or placing an order, you accept them.
2. Information on this website
Product pages describe our manufacturing capability. Colours, leather grain and hardware finishes vary between production runs and between screens; samples are the reference, not photographs. Nothing on this site is a binding offer — every order is confirmed by a written quotation and proforma invoice.
3. Quotations, minimums and samples
- Our standard minimum order quantity is 50 pieces per style, and quantities below that are accepted only where we confirm them in writing.
- Pre-production samples are normally produced within 3 to 5 working days of receiving your specification and sample fee.
- Quotations are valid for 30 days unless stated otherwise, and prices may be adjusted if material costs or specifications change before the order is confirmed.
4. Orders, payment and delivery
Orders proceed once the sample is approved in writing and the agreed deposit is received. Unless we agree otherwise, prices are quoted FOB or ex-works and do not include duties, taxes or freight. Production and shipping dates are given in good faith; delays caused by force majeure, customs inspection or carrier issues are outside our control.
5. Quality and warranty
Goods are inspected before shipment against the approved sample. We warrant our products against defects in workmanship and materials for 3 years from delivery. Natural variation in leather and damage caused by misuse, unsuitable cleaning or normal wear are not defects. If goods do not conform to the approved sample, we will repair, replace or credit them, provided the issue is reported with photographs and quantity details within a reasonable time of delivery.
6. Intellectual property
You confirm that any logo, artwork or design you send us is yours to use, and you grant us a licence to use it solely to produce your order. We do not reproduce trademarks we are not authorised to produce. Patterns and specifications we develop for you are used only for your orders and are not sold to other customers.
7. Liability
To the extent permitted by law, our liability for any claim relating to an order is limited to the value of the goods concerned. We are not liable for indirect or consequential losses, including lost profit or lost sales.
8. Governing law
These terms are governed by the laws of the People’s Republic of China. The parties will try to resolve any dispute by negotiation first.
